Terms of Service — ScopeKit

Welcome to ScopeKit. These Terms of Service ("Terms") govern your use of the ScopeKit web application and related services (the "Service") operated by ScopeKit ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ScopeKit is a web-based tool designed to help Odoo consultants and implementers generate professional gap analyses, module recommendations, and implementation proposals. The Service includes:

AI-powered requirement intake and analysis
Gap analysis engine with Odoo capability mapping
Module recommendation and dependency mapping
Effort and cost estimation tools
Document generation (DOCX reports and proposals)
Consultant profile and branding management

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service or its infrastructure
Reverse engineer, decompile, or disassemble any part of the Service
Use automated tools to scrape or extract data from the Service
Upload malicious content or attempt to inject harmful code
Impersonate another person or entity
Resell or redistribute the Service without our written consent

5. Your Data

You retain ownership of all data you enter into the Service, including client information, project data, and generated documents. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

You are responsible for ensuring that you have the necessary rights and permissions to enter client data into the Service, and that your use complies with any applicable confidentiality agreements with your clients.

6. AI-Generated Content

The Service uses artificial intelligence to analyze requirements and generate content. AI-generated outputs (including requirement extraction, gap classifications, and proposal narratives) are provided as suggestions and professional aids. You are responsible for reviewing, validating, and taking ownership of all content before sharing it with your clients.

We do not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content. The Service should be used as a tool to assist your professional judgment, not replace it.

7. Intellectual Property

The Service, including its design, code, knowledge base, and documentation, is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service except as expressly permitted by these Terms.

Documents you generate using the Service (reports, proposals) belong to you. We claim no ownership over your generated output.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or technical issues. We will endeavor to provide advance notice of planned downtime when possible.

9. Payment & Billing

Certain features require a paid subscription. By subscribing, you agree to pay the applicable fees. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice.

10. Limitation of Liability

To the maximum extent permitted by law, ScopeKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete your data after a reasonable retention period (typically 30 days).

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
